Terms of Service

1. Services Agreement

Auxzon provides AI automation, AI agent development, technology consulting, data analytics, and related intelligent business systems services ("Services"). The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

By accepting a proposal or SOW from Auxzon, you agree to these Terms in their entirety. These Terms, together with the applicable SOW, constitute the entire agreement between you and Auxzon for the relevant engagement.

Auxzon reserves the right to decline any project or engagement at its sole discretion. We reserve the right to modify these Terms at any time, with changes taking effect upon posting to our website.

2. Intellectual Property

Unless explicitly agreed otherwise in writing in the applicable SOW or project agreement:

• All deliverables — including code, designs, documentation, models, and any other work product created by Auxzon — are owned by Auxzon Solutions Private Limited until full payment has been received.
• Upon receipt of full and final payment, Auxzon grants the client a perpetual, non-exclusive licence to use the deliverables for their intended business purpose.
• Full ownership transfer of deliverables to the client requires explicit written agreement and may be subject to additional fees.

Auxzon retains the right to use general methodologies, frameworks, tools, and know-how developed during any engagement for future projects, provided no confidential client information is disclosed.

All Auxzon brand assets, website content, product names (including Xciah), and proprietary frameworks remain the exclusive intellectual property of Auxzon Solutions Private Limited.

3. Payment Terms

Unless otherwise specified in the project SOW, the following payment structure applies to all Auxzon engagements:

• All invoices are payable within 7 days of issue unless otherwise agreed.
• Late payments may incur interest at 2% per month on the outstanding balance.
• Auxzon reserves the right to pause or suspend work on any project where payment is overdue by more than 14 days.
• All fees are quoted exclusive of applicable taxes unless stated otherwise.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

• Auxzon's total liability to you for any claim arising out of or in connection with these Terms or any engagement shall not exceed the total fees paid by you to Auxzon in the three (3) months preceding the claim.
• Auxzon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or reputational damage.
• Auxzon does not guarantee specific business outcomes, revenue increases, or performance improvements from the use of our solutions. Results depend on many factors outside our control.
• Auxzon is not liable for any third-party services, APIs, platforms, or tools integrated into a solution at the client's request.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

5. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India. Both parties agree to attempt to resolve any dispute amicably before initiating formal legal proceedings.
